Welcome to 7 Block Developments LLC. By using the ADUMagazine.com or another of our websites and other services (“Service”) provided by 7 Block Developments LLC and Sequence Systems LLC (“7 Block”), you agree to be bound by the following terms and conditions (“Terms of Service”).

1. DESCRIPTION OF SERVICE

Description of Service. 7 Block is a media company which enables users to get informed, stay informed, and communicate about specific topics of interest. Our Service provides users with access to and control over a collection of online resources, including but not limited to: data, text, links, feeds, graphics, photos, audio and video clips, messages, screen names, profiles, products, comments, communication tools and other information posted by 7 Block or by users of the Service and publicly displayed on the Service (“Content”).

2. CONSENT AND ACCEPTANCE

Consent and Acceptance of Terms of Service. By accessing or using any website(s) with an authorized link to this Agreement, utilizing any products or Services, registering an account or accessing or using any content, information, services, features or resources available or enabled via the website (collectively with the website, the “Service”), clicking on a button or taking another action to signify your acceptance of this Agreement, you: (1) agree to be bound by this Agreement and any future amendments and additions to this Agreement as published through the Service; (2) represent you are of legal age in your jurisdiction of residence to form a binding contract; and (3) represent that you have the authority to enter into this Agreement personally and, if applicable, on behalf of any company, organization or other legal entity on whose behalf you use the Service. Except as otherwise provided herein, if you do not agree to be bound by this Agreement, you will not and may not access or use the Service.

Your use of the Services is also subject to any additional terms, conditions, and policies that we may separately post on the Services (“Supplemental Terms”) which are incorporated by reference into this Agreement. Some of the specialized features and tools accessible through our Service may be provided by third-party companies pursuant to their own separate Terms of Service (“Third-Party Terms”) that differ from ours.  By using such third-party features and tools, you agree that your relationships with the third-party service providers will be governed by the applicable Third-Party Terms.

3. RIGHT TO MODIFY

Right to Modify Service. 7 Block reserves the right to in its sole discretion to immediately change, suspend, remove, or discontinue any part of the Service or any Content for any reason, at any time, without prior notice or liability.

4. USER CONDUCT

Conditions of Use (User Conduct). As a condition of use of our Service and Content, you agree to all of the following:

  • You acknowledge that the Service is for personal use only. You agree that you will not use the Service for any commercial purposes.
  • As a condition of registering with the Service, you may be required to provide your email address, select a user identification (“User ID”) and/or password. While 7 Block will keep your UserID and password confidential in accordance with its Privacy Policy, you are responsible for maintaining the confidentiality of your UserID and password.
  • You are responsible for all activity that occurs while using our Service and under your User ID.
  • You are solely responsible for your conduct and any Content that you submit, post, and display on the Service, or that you allow others to submit, post and/or display on the Service or under your UserID.
  • You must not harass, threaten, impersonate, or intimidate other users.
  • You must not upload, post, email, transmit or otherwise make available any Content that is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable.
  • You must not upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” “affiliate links,” or any other form of solicitation.
  • You must not transmit any worms or viruses or any code of a destructive nature.
  • You must not violate any state or local laws in your jurisdiction (including but not limited to intellectual property laws).
  • You must not use the Service for any illegal or unauthorized purpose. If you are an international user, you agree to comply with all local laws regarding online conduct and acceptable Content.

5. RESTRICTION ON USE

Restrictions on Use of Services. The rights granted to you in this Agreement are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, reproduce, distribute, host or otherwise commercially exploit the Services or any portion of the Services; (b) you shall not frame or use framing techniques to enclose any trademark, logo or Services (including images, text, page layout or form) of 7 Block; (c) you shall not use any metatags or other “hidden text” using 7 Block name or trademarks; (d) you shall not modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile or reverse engineer any part of the Service except to the extent the foregoing restrictions are expressly prohibited by applicable law; (e) you shall not use any manual or automated software, devices or other processes (including but not limited to spiders, robots, scrapers, crawlers, avatars, data mining tools or the like) to “scrape” or download data from the Services (except that we grant the operators of public search engines revocable permission to use spiders to copy materials from the Website for the sole purpose of and solely to the extent necessary for creating publicly available searchable indices of the materials, but not caches or archives of such materials); (f) you shall not access the Services to build a similar or competitive website, application or service; (g) except as expressly stated herein, no part of the Service may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means; (h) you shall not remove or destroy any copyright notices or other proprietary markings contained on or in the Service; (i) you shall not interfere with or attempt to interfere with the proper functioning of the Services or use the Service in any way not expressly permitted by this Agreement; and (j) you shall not attempt to harm our Service, including but not limited to, by violating or attempting to violate any related security features, introducing viruses, worms, or similar harmful code into the Service, or interfering or attempting to interfere with use of the Services by any other user, host or network, including by means of overloading, “flooding,” “spamming,” “mail bombing”, or “crashing” the Service.

6. RESPONSIBLE FOR CONTENT

Responsible for Content. You acknowledge that all content is the sole responsibility of the party from whom such content originated. This means that each User of 7 Block Service, sites and products is entirely responsible for all content that that User makes available through the Services, or otherwise provided to 7 Block, whether online or offline and whether or not solicited by 7 Block (“User Content”). 7 Block has no obligation to pre-screen any content. You use all User Content and interact with other Users at your own risk. Without limiting the foregoing, 7 Block reserves the right in its sole discretion to pre-screen, refuse, or remove any content. 7 Block shall have the right to remove any content that violates this Agreement or in its sole discretion finds otherwise objectionable.

7. CONTENT SUBMITTED FOR INCLUSION OR MADE AVAILABLE ON THE SERVICE

License Grants. While you have ownership and any copyright to your own information and images, when you supply, post, or providing your Content to or through the Service you automatically grant 7 Block a royalty-free, perpetual, irrevocable, non-exclusive worldwide license to (i) use, reproduce, share, modify, publish, edit, translate, modify, adapt, distribute, perform, and display the Content alone or as part of other works in any form, media, or technology whether now known or later developed, and to (ii) freely and fully sublicense such rights through single or multiple tiers of sublicensees

Specifically, when you supply content on or our through the Service, you are agreeing that the information and/or images supplied and collected may be used by 7 Block and may be published on our website(s) and/or in all other digital and print mediums. Any information provide may be selected and utilized entirely at the discretion of 7 Block. You acknowledge and agree that 7 Block shall have no obligation to post, display, or otherwise make publicly available any photo or information submitted by you, and may, in its sole discretion, remove, edit, modify or delete any photo or information that you submit to 7 Block. By submitting any photo or information to 7 Block, you represent that any submitted photo or information does not and shall not infringe on any copyright, any rights of privacy or publicity of any other person, or any other right of any third party, and that you have the right to grant any and all rights and licenses granted to 7 Block. If, in the event you do not have the right to provide images and information submitted, you agree to hold 7 Block harmless from use of all the images or information provided. All submissions will become the property of 7 Block. By submitting any photo or information to 7 Block Developments, you grant 7 Block an irrevocable, perpetual, and royalty-free right to use, reproduce, edit, display, transmit, prepare derivative works of, modify, publish and otherwise make use of the submitted photo or other information in any and all media, whether now known or hereinafter created, throughout the world and for any purpose. In addition to other things, the rights granted to 7 Block includes but is not limited to the right to resize, crop, censor, compress, edit, feature, caption, affix logos to, and to otherwise alter or make use of the submitted photo. By submitting any photo or information to 7 Block, you waive any privacy expectations that you may have with its publication or use. You understand and intend that any photo or information submitted by you to 7 Block Developments may potentially be available for viewing, rating, review and comment on by the public, and understand that comments or ratings with which you disagree or are unhappy about may potentially be reflected, published, or otherwise become associated with any photo or information you submit to 7 Block.

8. LINKS TO 3rd PARTY SITES

Links to Other Sites and Resources. The Service contains links to other websites or resources. You acknowledge that 7 Block has no control over such external sites and resources. You agree that (i) 7 Block is not responsible for the availability or accuracy of such external sites and resources, and (ii) 7 Block does not endorse nor is it responsible or liable for any Content, advertising, products, or materials on or available from such external sites and resources.

9. RATINGS AND REVIEWS

Ratings and Reviews. Ratings and reviews posted by Users on our Services are User Content that is not endorsed by 7 Block and does not represent the views of 7 Block. 7 Block does not assume liability for ratings and reviews or for any claims for economic loss resulting from such ratings and reviews. Because we expect Users to maintain a high level of integrity with respect to ratings and reviews posted through the Services, you agree: (i) to base any rating or review you post only on your first-hand experience with the applicable business, product, or service; (ii) you will not provide a rating or review for any business, product, or service with respect to which you have a competitive, ownership or other economic interest, employment relationship or other affiliation; (iii) you will not submit a rating or review in exchange for payment or other benefits from any individual or entity; and (iv) your review will comply with the terms of this Agreement. If we determine, in our sole discretion, that any rating or review could diminish the integrity of the ratings and reviews, we may exclude such User Content without notice.

10. FEEDBACK/PITCHES/IDEAS

Feedback/Pitches/Ideas/Product. You agree that your submission of any ideas, pitches, suggestions, products, documents, and/or proposals to 7 Block is at your own risk and that 7 Block has no obligations with respect to such submissions. You represent and warrant that you have all rights necessary to submit the information. You hereby grant to 7 Block the right to use any submission information in any way at any time without any additional approval or compensation.

11. COPYRIGHT POLICY

Copyright of others Property. We respect the intellectual property rights of others, and we ask that our users do the same. It is our policy to disable access to or remove material that we believe in good faith to be infringing on a copyrighted work. We may also disable and/or terminate the accounts of users who we believe in good faith that do or are repeatedly infringing copyrighted works.

If you believe content posted on the Service infringes your copyright rights, please provide our Copyright Agent with the following information: (1) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest; (2) a description of the copyrighted work that you claim has been infringed; (3) a description of the location on the Services of the material that you claim is infringing; (4) your address, telephone number and e-mail address; (5) a written statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent or the law; and (6) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. Privacy Policy. 7 Block takes the privacy of its users very seriously. Our Privacy Policy is available here. By accepting the Terms of Service, you agree to be bound by our Privacy Policy.

13. INDEMNITY

Indemnification. By accepting the Terms of Service, you agree to indemnify and hold 7 Block and its subsidiaries, affiliates, officers, agents, employees, partners and licensors harmless from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of Content you submit, post, transmit or otherwise make available through the Service, your use of the Service, your connection to the Service, your violation of the Terms of Service (including our Copyright Policy and Privacy Policy), or your violation of any rights of another.

14. WARRANTY DISCLAIMERS

YOU AGREE THAT YOUR USE OF THE SERVICE PROVIDED BY 7 BLOCK SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, 7 BLOCK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. 7 BLOCK MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICE’S CONTENT OR THE CONTENT OF ANY SITES LINKED TO THIS SERVICE, AND ASSUMES NO LIABILITY OR RESPONSIBILITY FOR ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF THE SERVICE, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE WHICH MAY BE TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY CONTENT, OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF THE USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED OR OTHERWISE MADE AVAILABLE VIA THE SERVICE. 7 BLOCK DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY PRODUCT OR SERVICE ADVERTISED OR OFFERED BY A THIRD PARTY THROUGH THE SERVICE OR ANY HYPERLINKED WEBSITE, OR FEATURED IN ANY BANNER OR OTHER ADVERTISING, AND 7 BLOCK WILL NOT BE A PARTY TO OR IN ANY WAY BE RESPONSIBLE FOR MONITORING ANY TRANSACTION BETWEEN YOU AND THIRD-PARTY PROVIDERS OF PRODUCTS OR SERVICES. AS WITH THE PURCHASE OF A PRODUCT OR SERVICE THROUGH ANY MEDIUM OR IN ANY ENVIRONMENT, YOU SHOULD USE YOUR BEST JUDGMENT AND EXERCISE CAUTION WHERE APPROPRIATE.

IF YOU RELY ON ANY DATA OR INFORMATION OBTAINED THROUGH OUR PRODUCTS OR SERVICES, YOU DO SO AT YOUR OWN RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY DAMAGE OR LOSS THAT RESULTS FROM YOUR USE OF SUCH DATA OR INFORMATION.

OUR PRODUCTS AND SERVICES ARE PROVIDED WITH THE UNDERSTANDING THAT 7 BLOCK AND ITS USERS ARE NOT ENGAGED IN RENDERING LEGAL, FINANCIAL, MEDICAL, COUNSELING OR OTHER PROFESSIONAL SERVICES OR ADVICE. OUR PRODUCTS AND SERVICES ARE NO SUBSTITUTE FOR PROFESSIONAL SERVICES OR ADVICE.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE FOREGOING DISCLAIMERS, EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS

15. LIMITATION OF LIABILITY

YOU AGREE THAT 7 BLOCK AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE SERVICE; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; OR (V) ANY OTHER MATTER RELATING TO THE SERVICE

SOME STATES OR OTHER JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU.

16. TERMINATION

Termination of Access. 7 Block reserves the right to terminate your access, member account or service immediately, without prior notice or liability, for any reason. If 7 Block terminates your access or account, your right to use the Service will immediately cease.

You can terminate your 7 Block account at any time and for any reason, and we will make available through the Service reasonable means for you to do so.

All provisions of the Terms of Service will survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

17. COPYRIGHT AND TRADEMARKS

Copyright. 7 Block own all rights, title, and interest in the Service. The Service is protected by copyright and other intellectual property laws throughout the world. Subject to this Agreement, 7 Block grants you a limited license to use the Service solely for your personal non-commercial purposes. Any future release, update or other addition to the Service shall be subject to this Agreement. 7 Block, its suppliers, and service providers also reserve all rights not granted in this Agreement.

Trademarks. ADU Magazine’s stylized name and other related graphics, logos, service markets, and tradenames used on or in connection with Service are the trademarks of 7 Block. They may not be used without permission in connection with any third-party products or services. Other trademarks, service marks and trade names that may appear on or in the Service are the property of their respective owners. You will not remove, alter or obscure any copyright notice, trademark, service mark or other proprietary rights notices incorporated in or accompanying the Service.

18. MISCELLANEOUS PROVISIONS

Entire Agreement. The Terms of Service, including 7 Block Copyright Policy and Privacy Policy, which are hereby incorporated by reference, constitute the entire agreement between you and 7 Block and governs your use of the Service, superseding any prior agreements between you and 7 Block.

Governing Laws and Jurisdiction. The Terms of Service will be governed by and construed in accordance with the laws of the State of California, the County of Placer, without regard to its conflict of law provisions. To the extent the parties are permitted under this Agreement to initiate litigation in a court, both you and 7 Block agree that all claims and disputes arising out of or relating to this Agreement will be litigated exclusively in the state courts in Placer County, California or federal courts located in that District of California.

Waiver and Severability. The failure of 7 Block to exercise or enforce any right or provision of the Terms of Service shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.

Notices. 7 Block may provide you with notices, including, without limitation, those regarding changes to the Terms of Service and other service-related announcements, by postings or email on the Service.

Future Modifications of Terms of Service. We reserve the right to modify the Terms of Services at any time, and without prior notice, by posting amended terms on this website. Your continued use of the Service indicates your acceptance of the amended Terms of Service

In accordance with California Civil Code §1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting them in writing at 400 R Street, Sacramento, CA 95814, or by telephone at (800) 952-5210.
